Konvoke Terms of Service



This User Agreement (or "Agreement") is a legal agreement between you and Konvoke, Inc. By using the Konvoke Website (www.konvoke.com), you agree to be bound by the Terms of Service and Privacy Policy.  Please read these Terms of Service (including the Privacy Policy) carefully.  Your access to or use of the Site constitutes your acceptance of the Terms of Service. If you are unwilling to be bound by the Terms of Service, do not access or use the Site.

DEFINITIONS
A "User" is anyone who accesses, browses, writes reviews, or in any way uses the Site including members and non-members.  The "Services" means the services and functionality made available to Users on the Site. "Content," “Konvoke Content” or “Vendor Content” refers to information, classifications, product information, photographs and images supplied by the site and its vendors.  "Member Content" means Content that members submit, post, or transmit or use on the Site, including but not limited to the ratings, reviews and information that members display as part of their personal or hospital profiles.  Member Content does not include personally identifiable information that they submit when creating an account on the Site (refer to our Privacy Policy). "Your Content" means the Content that you submit, post, or transmit using, the Site, including but not limited to ratings, reviews and information that you display as part of your member or hospital profile.  Your Content does not include personally identifiable information that you submit when signing up as a member (refer to our Privacy Policy). "Third Party Content" means Content that is made available on the Site by parties other than Konvoke, its Vendors or Members. "Site Content" means all of the Content that is made available on the Site, including Your Content, Member Content, Vendor Content, Third Party Content, and Konvoke Content.

MEMBERSHIP
A “Member Account” is an account open to all hospital-based professionals with a valid hospital email address.  Only Konvoke members will have the ability to write product reviews and provide input on vendor rankings.  Members will have the option of creating a User Name in order to maintain anonymity.  Members will have the sole responsibility to maintain confidentiality of their passwords and are solely responsible for all activities that occur in connection with their accounts.  Users may only have one membership account to Konvoke and may not impersonate someone else or provide false information in order to gain access to the Site.  Members agree to notify Konvoke immediately of any unauthorized use of their accounts.  Konvoke reserves the right to close a Member’s account at any time for any or nor reason (see Termination). A “Vendor Account” is an account for use on the Site as a representative of a company whose product or service is listed on the Site.   Only authorized representatives of a company may update information on a product listing page and must provide complete and accurate information regarding their products and services.

USE OF THIS SITE
Subject to the restrictions set forth herein, Konvoke grants you permission to access and use the site to: (a) search for company and product information, (b) read, write and share reviews about products and services on the basis of your personal experience, (c) send messages and communicate to other Members, (d) recommend products and categories to be added to the site, (e) respond to polls and surveys posted on the site.
You will be exposed to both Member and Third Party Content.  You understand that User Content and Third Party Content may be objectionable, indecent, inaccurate, or otherwise inappropriate.  Konvoke does not endorse User Content or Third Party Content, including but not limited to the opinions, recommendations, or advice expressed therein.

RESTRICTIONS ON USE
You agree that you will not (and will not permit others to):
1. Impersonate someone else or provide false information in order to gain access to the Site;
2. Use the Site to defraud, incite, harass, or advocate the harassment of a Business, product, service or other Member of the Site;
3. Use the Site to transmit or post spam, chain letters, contests, junk email, pyramid schemes, surveys, or other mass messaging, whether commercial in nature or not;
4. Use the Site for promotional or commercial purposes, unless expressly allowed to do so by Konvoke; 
5. Use the Site in a manner that creates the appearance of a conflict of interest;
6. Use the Site to violate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right;
7. Use the Site in violation of the Terms of Service or any applicable local, state, national or international law;
8. Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works of, publicly display, sell, trade, or in any way exploit the Site, the Services, or any of the Site Content (other than Your Content), except as expressly authorized by Konvoke;
9. Reverse engineer any portion of the Site;
10. Remove any copyright, trademark or other proprietary rights notices contained on the Site or in any Site Content;
11. Use any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve or index any Site Content or information from the Site;
12. Access, retrieve or index any portion of the Site for purposes of constructing or populating a searchable database of business reviews;
13. Reformat or frame any portion of the Site;
14. Attempt to gain unauthorized access to this site.

Konvoke may terminate Membership at any time if you are in breach of any of the terms of the Agreement.  Konvoke will immediately terminate Membership if any member is not a hospital-based employee or professional, or if it is found a member works for a company whose product or service is being reviewed.  Upon termination, any previously submitted reviews by that member will be removed.
You may terminate you Membership at any time by contacting Konvoke with written notice (contact us) of a termination request.
